This Terms of terms of service (the “Terms“) is between you and Tenovi Co. (hereafter as “Tenovi“, “we“, “us” or “our“). By accessing or using our website, products, software, or services (collectively the “Services“), you agree to be bound by the terms of this Terms. If you do not accept these terms, you shall not use the Services.
The Terms include Tenovi’s Privacy Policy and any additional terms or policies related to specific Services. In the event of any inconsistency, the Terms of Service shall prevail.
1. Use of Tenovi Services
1.1 Access to Tenovi Services: To use certain Tenovi Services on a product, you must have a valid Tenovi account, be logged in to your account on the product, and have a valid payment method associated with your account.
1.2 Service Overview: Tenovi provides remote patient monitoring (RPM) devices and related support services to other RPM companies. Our Services may include device provisioning, data management, technical support, and integration with healthcare platforms.
1.3 Tenovi Equipment: For the purposes of this Terms, “Tenovi Equipment” refers to any physical devices, hardware, or medical equipment that Tenovi provides to you as part of the Services. This includes, but is not limited to, remote patient monitoring devices, sensors, wearables, diagnostic tools, and any other related hardware necessary for the operation of the Services. The Tenovi Equipment is licensed to you for use in connection with the Services, and you are granted a limited, non-transferable, and non-exclusive right to use the Tenovi Equipment as outlined in these Terms.
1.4 Tenovi Software: You may use Tenovi software (the “Tenovi Software”) solely on products provided by Tenovi, for the intended purposes of utilizing the Services. Any use of the Tenovi Software outside of this purpose is prohibited, unless otherwise authorized by Tenovi.
Modifications of Terms: We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the revised Terms on our website or through other communications. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.
1.5 Availability: The Services may not be available at all times, may vary by product or geography, or may be discontinued or altered at Tenovi’s discretion without notice. Some Services may require separate subscriptions.
2. User Responsibilities
2.1 Compliance: You agree to use the Services while complying with all applicable laws and regulations, including HIPAA and other privacy when using Services.
2.2 Account Security: the confidentiality of your account credentials (including but not limited to your username and password) is solely your responsibility, and you are fully liable for all activities that occur under your account.
2.3 Accurate Information: You agree to provide accurate and complete information as required for using the Services.
2.4 Connectivity: Some Tenovi Services may require an internet connection. Any costs associated with obtaining and maintaining an internet connection are your responsibility.
2.5 Care Provider Instructions: You agree to follow your care provider’s instructions when using Tenovi Equipment and Services. In case the indications you get from Tenovi Equipment contradict the instructions from your care provider, you will follow your care provider’s instructions. If you are not sure what these are, you will contact your care provider for clarification.
2.6 Contact Support: In case of an issue with Tenovi Equipment, you will contact your care provider or our support personnel.
2.7 Emergency: Tenovi Services are not intended for use in emergency situations. In case of an emergency, you must contact local emergency services immediately (e.g., by calling 911).
3. Intellectual Property
3.1 All intellectual property rights in the Services, including but not limited to Software, hardware designs, and proprietary algorithms, are owned by Tenovi or its licensors. You may not use our intellectual property without prior written consent, except as necessary to use the Services as intended.
3.2 Privacy Regulation: Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. You consent to the collection, use, and disclosure of your data as described in the Privacy Policy.
3.3 Protected Health Information: We will safeguard your Protected Health Information (PHI), provide to you access to your data to the extent required by the Health Insurance Portability and Accountability Act (HIPAA), and notify you of in case of a breach as required by HIPAA or other applicable law.
4. Disclaimers and Limitation of Liability
4.1 No Warranty: The Services are provided “as is” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
4.2 Limitation of Liability: To the maximum extent permitted by law, Tenovi aggregate liability for any claims arising out of your use of the Services will not exceed the total amount paid by you to Tenovi for the Services in the 12-month period preceding the event giving rise to the claim; provided that to the extent permitted by law, Tenovi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.
4.3 Measurement Accuracy: Tenovi makes no representations or warranties regarding the accuracy, reliability, or completeness of measurements or data obtained through the use of any peripheral devices. Specifically, Tenovi expressly disclaims any guarantee or responsibility for measurements or indications provided by peripheral devices that are not FDA-approved or that are not manufactured, or verified by Tenovi. This disclaimer also applies whether the device in question is supplied directly by Tenovi or is white-labeled under Tenovi’s brand. Users acknowledge and agree that Tenovi is not liable for any inaccuracies in measurements or data arising from the use of such devices.
4.4 Transmission of Data: Tenovi does not control the transmission of data from peripheral devices to the patient record in its entirety. As such, Tenovi expressly disclaims any warranties or guarantees regarding the timeliness, accuracy, or completeness of data transmitted through the Services. Users acknowledge that Tenovi is not responsible for any delays, interruptions, or inaccuracies in the data transmission process, and that external factors beyond Tenovi’s control may affect the transmission of data.
4.5 Review of Measurements: Tenovi does not engage in the review or analysis of patient data, measurements, or vital signs for the detection or diagnosis of any medical condition, whether chronic or acute. Tenovi expressly disclaims any responsibility for identifying potential health risks or clinical conditions. As Tenovi’s Services are non-clinical in nature, Tenovi will not initiate any contact with emergency services, alert users or care providers in the event of a medical emergency or potential risk to a patient’s health.
5. Termination
Tenovi reserves the right to suspend or terminate your access to the Services at its sole discretion if you violate any of the terms in this Terms. Termination will be effective immediately upon appropriate notification either to you, to your care provider and/or the relevant Tenovi customer under which your account is set up.
6. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
7. Dispute Resolution
Any dispute arising out of or related to these Terms shall be resolved through binding arbitration in the State of Delaware, under the rules of the American Arbitration Association (AAA), except for disputes involving enforcement of intellectual property rights.
8. Severability
If any provision of these Terms shall be held or made invalid by a court decision, statute or rule, or shall be otherwise rendered invalid, the remainder of these Terms shall not be affected thereby.
